Services to Investment Managers

We have experience with Cayman Islands companies incorporated to act as an investment manager which in turn delegate some of its duties to an advisor in another jurisdiction. However, it is usually important for the Cayman Islands Manager to be left with some real activities which can range from simply having responsibility for payment of audit fees and arranging the audit process to actually making the investment management decisions, invoicing and operating bank accounts. The scope of services to be determined is normally based on tax advisors recommendations. The typical fees for a management company tend to be slightly higher than for an investment fund due to the responsibility and additional time to be spent. We can provide directors to such Cayman Islands based managers with a full range of services as setout below:

Simple management services:
1. The provision of two suitable qualified and experienced directors for the investment manager company;
2. The retention of responsibility for arranging and coordinating the audit; and
3. Undertaking minor administrative tasks such as opening bank accounts and dealing with enquires.

Enhanced management services:
1. The provision of two suitable qualified and experienced directors for the investment manager company.
2. The retention of responsibility for arranging and coordinating the audit.
3. Undertaking administrative tasks such as opening and operating bank accounts and dealing with enquires.
4. Approval of the investment adviser or investment committee’s investment allocations/sales/ trading activity.

Substantive management services
1. The provision of two suitable qualified and experienced directors for the investment manager company.
2. The retention of responsibility for arranging and coordinating the audit.
3. Invoicing management fees as frequently as required.
4. Operating a bank account to receive management fees and thereafter paying expenses and advisor fees, as well as reviewing and approving other invoices.
5. Taking advice from the investment adviser in relation to their recommendations for investment allocations and sales and thereafter making the determination of the recommendations and instructing the same to relevant parties.
6. The provision of a part-time employee (who can either be the director of the manager or a separate person).

Substantive office establishment
We can provide the non-exclusive use of our Class A office space, with a dedicated telephone answering in the Investment Manager’s name. We would charge an annual fee plus expenses for this service. It would include the use of our offices for up to four physical meetings per year.

Formation of a Cayman Islands Manager
We can assist with the incorporation of a Cayman Islands manager which would include applying for exemption under the Securities Investment Business Law (as applicable) to the Cayman Islands Monetary Authority. The fee for the establishment of the Cayman Islands manager includes all government fees and expenses.

Nominee Shareholding services
If we are required to hold shares in either the fund or the investment manager (for example voting or management shares), we can do so for a nominal fee per annum per entity.

Substantive corporate secretary
We can provide substantive corporate secretarial services including the provision of a dedicated contact to prepare board packs with agendas and thereafter attending the meetings and preparing detailed minutes for board meetings. This is available for any company at a fixed fee per meeting of $1,000 or at annual rate as agreed. We would normally recommend this service as it is an important corporate governance support function.
